These standard terms and conditions (hereinafter referred to as "Terms") govern all contractual relationships between Cyber-TBD s.r.o. and the customer, unless expressly agreed otherwise in writing. The customer explicitly waives its own general terms and conditions, even if these were drawn up after these Terms. Any deviations from these Terms must be expressly agreed upon in writing by both parties in order to be valid.


1. DEFINITIONS AND INTERPRETATION

1.1. Cyber-TBD s.r.o. - The provider of services and seller of products specified in these Terms.

1.2. Customer - Any person or entity ordering services or products from Cyber-TBD s.r.o.

1.3. Services - Any services provided under these Terms, including but not limited to IT services, cybersecurity, consulting, and system management.

1.4. Terms - These standard terms and conditions of sale.

2. SCOPE OF SERVICES

2.1. Cyber-TBD s.r.o. provides services according to the specifications set forth in the agreement or order; however, all obligations are based on reasonable efforts rather than a guarantee of specific results, unless otherwise stated in the agreement.

2.2. Any additional or specific customer requirements must be agreed upon in writing by both parties.

2.3. Cyber-TBD s.r.o. commits to informing the customer in advance of any anticipated issues that may affect the timeline or quality of the services.

3. PRICING AND PAYMENT TERMS

3.1. Invoices are payable within 21 working days, unless otherwise specified on the invoice or order.

3.2. In the event of non-payment by the due date, Cyber-TBD s.r.o. reserves the right to charge interest on overdue payments at an annual rate of 10%, in compliance with applicable laws of the Czech Republic.

3.3. Cyber-TBD s.r.o. reserves the right to suspend the provision of services in the event of late payment. However, prior to taking such action, a written notice will be sent to the customer, allowing a 14-day grace period for resolution.

3.4. If a payment remains outstanding more than 60 days past the due date, Cyber-TBD s.r.o. reserves the right to engage a debt collection agency. All costs associated with the collection, including legal fees, shall be borne by the customer.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. Cyber-TBD s.r.o. undertakes to use all reasonable efforts to provide services within the agreed timeframes. Should unexpected circumstances arise that could affect the delivery of services, the customer will be promptly informed.

4.2. Cyber-TBD s.r.o. shall not be liable for any damages resulting from service outages caused by third parties or force majeure.

4.3. The customer must provide the company with access to the systems and data necessary for the proper provision of services and ensure that these systems comply with security standards.

4.4. Cyber-TBD s.r.o. commits to transparent communication regarding the progress and outcomes of the services provided.

5. INTELLECTUAL PROPERTY

5.1. All rights to software, documentation, and other content created during the provision of services remain the property of Cyber-TBD s.r.o., unless otherwise specified in the agreement.

5.2. The customer is granted a non-exclusive, time-limited license to use these materials for internal purposes only.

5.3. Any use beyond the scope of this license must be expressly approved in writing by Cyber-TBD s.r.o.

6. PRIVACY AND CONFIDENTIALITY

6.1. Cyber-TBD s.r.o. shall ensure the protection of the customer's personal data in accordance with applicable data protection laws.

6.2. All data obtained during the provision of services shall be considered confidential and shall not be shared with third parties without the customer's prior written consent, except in cases of legal obligation.

6.3. Cyber-TBD s.r.o. undertakes to take reasonable measures to protect the customer's confidential information.

7. CLAIMS AND COMPLAINTS

7.1. Any claims must be reported to Cyber-TBD s.r.o. in writing by registered letter within 14 days of the provision of the services or delivery of the goods.

7.2. Claims submitted after this period will not be considered valid, except for hidden defects that manifest later. In such cases, the claim period is extended to 30 days from the date of discovery.

8. DISPUTE RESOLUTION AND GOVERNING LAW

8.1. All contractual relationships shall be governed by the laws of the Czech Republic.

8.2. Disputes shall be resolved before the competent courts of the Czech Republic; however, both parties may agree to alternative dispute resolution methods (e.g., mediation or arbitration) if deemed appropriate.

8.3. Prior to initiating legal proceedings, the parties commit to attempting to resolve the dispute amicably.

9. TERMINATION OF THE AGREEMENT

9.1. Cyber-TBD s.r.o. reserves the right to terminate the agreement if the customer breaches these Terms and fails to remedy the situation within 30 days of receiving notice of the breach.

9.2. The customer has the right to terminate the agreement if Cyber-TBD s.r.o. fails to fulfill its obligations even after 30 days following a written notice.
